1. Acceptance of Terms

By accessing or using NeoFormic, a product of AENEA AI, Inc. ("the Service"), you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

NeoFormic is a software interface designed to assist users in navigating third-party government websites for business filings.

3. Authorization to Act as Filing Agent

By using NeoFormic, you hereby authorize and appoint AENEA AI, Inc., the company behind NeoFormic, as your authorized agent and representative for the limited purpose of:

• Preparing, completing, and assisting with business registration forms, applications, and related documents to federal, state, county, and local government agencies on your behalf;
• Communicating with government agencies regarding your filings and applications;
• Accessing government portals and online filing systems using information you provide to complete registrations and filings you have requested.

This authorization is non-exclusive and may be revoked by you at any time by discontinuing use of the Service and providing written notice to us. You represent and warrant that you have the legal authority to authorize such filings on behalf of the business entity for which you are requesting services, and that all information provided is accurate and complete.

You acknowledge that while we act as your authorized filing agent, YOU remain solely responsible for: (i) the accuracy and completeness of all information submitted; (ii) reviewing all documents before final submission; (iii) ensuring compliance with all applicable laws; and (iv) paying all government filing fees directly to the relevant agencies.

This authorization does not create an attorney-client relationship, partnership, joint venture, or any fiduciary relationship between you and AENEA AI, Inc.

4. User Responsibilities

You acknowledge and agree that:

• Accuracy: You are solely responsible for the accuracy of the data you enter into NeoFormic and the data submitted to government agencies. You must review all information before submission.
• Verification: You are responsible for verifying that all filings are complete, accurate, and comply with applicable laws and regulations. You must independently confirm that your filings have been accepted and processed by the relevant government agencies.
• Additional Requirements: THE FILINGS OFFERED THROUGH OUR SERVICE MAY NOT CONSTITUTE ALL FILINGS OR REGISTRATIONS YOUR BUSINESS IS LEGALLY REQUIRED TO COMPLETE. You are solely responsible for researching and completing any additional filings, permits, licenses, or registrations required by federal, state, county, city, or other governmental authorities.
• Submission: You are responsible for clicking the final "Submit" or "File" button on government websites. NeoFormic does not automatically bind you to contracts or submit legal filings without your direct interaction.
• Fees: You are responsible for paying all filing fees charged by government agencies directly to those agencies. NeoFormic fees do not include government filing fees.
• Professional Advice: You should consult with a qualified attorney, CPA, or other licensed professional to determine all legal requirements applicable to your specific business situation.

5. No Guarantee of Acceptance

We strive to keep our guides and automation up to date. However, government forms and websites change frequently. We do not guarantee that:

• The government website will be available or functional.
• Our automation selectors will always work on third-party sites.
• Your filing will be accepted by the government agency.
• The information provided through our Service is current or complete.
• Our Service identifies all filings required for your specific business.

Our Service loads third-party government websites in a side-by-side view or via browser automation. We do not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party sites.

You agree to indemnify, defend, and hold harmless AENEA AI, Inc., NeoFormic, and their officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable laws or regulations; (d) any inaccurate or incomplete information you provide; (e) any filings you submit or fail to submit; or (f) your failure to complete any required filings, permits, licenses, or registrations not offered through our Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

You acknowledge that the Service may be in a "Beta" state and may contain bugs, errors, or other defects. You use the Service at your own risk.

11. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction of such courts.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
